The Right Structure Starts With Your Objectives

Abu Dhabi Global Market is the international financial centre of Abu Dhabi, with its own legal framework that directly applies English common law. It is widely used for SPVs, foundations, holding companies, family offices and investment platforms.

Each ADGM structure serves a different purpose, and choosing one is a structuring decision first. We start with what the entity needs to do, whether that is holding assets, managing subsidiaries or securing succession, then advise on the structure, governance and tax position that best supports it.

Each structure has its own purpose, governance model and long-term fit. Select one to see how it is commonly used and who it typically suits.

ADGM SPV

A private company limited by shares, designed to be passive. It holds assets and keeps legal and financial exposure separate from shareholders and other group entities, and does not trade, employ staff or carry on day-to-day commercial activity.

Worth knowing: An ADGM SPV needs a genuine connection to the UAE or GCC, such as GCC-based ownership, UAE-located assets or UAE-connected transactions.

Frequently Asked Questions

How do I know which ADGM structure is right for me?
It depends on what the entity needs to do. If it only needs to hold assets, an SPV is usually considered. If it needs to operate, manage subsidiaries or employ staff, a Holding Company is usually more suitable. If you need long-term ownership control without shareholders, a Foundation is commonly used. We talk this through in your first consultation.
What is the difference between ADGM and DIFC?
Both are respected common law-based financial centres. ADGM applies English common law directly, while the DIFC’s law is codified. ADGM is often preferred for funds, SPVs, family offices and holding structures, and ADGM SPVs need a genuine UAE or GCC connection. We advise on both and can recommend the right fit, or a combination.
Can a foreign investor fully own an ADGM structure?
Yes. ADGM allows 100% foreign ownership, without a UAE national shareholder or local partner.
Is an ADGM Foundation suitable for succession planning?
A Foundation does not come to an end when the founder passes away. Assets remain within the structure and are distributed according to the Charter and By-Laws, which avoids dealing with multiple legal systems where assets sit in different countries.
Do ADGM Foundations offer privacy?
The Charter is a public document, but the By-Laws, which cover beneficiary rights, distributions and succession provisions, remain private.
How does UAE Corporate Tax affect ADGM structures?
ADGM entities fall within UAE Corporate Tax. A structure that qualifies as a Qualifying Free Zone Person may benefit from 0% Corporate Tax on qualifying income, but this is not automatic and depends on meeting and maintaining the relevant conditions. We review the position before you rely on it.
Can an ADGM structure hold assets outside the UAE?
Yes. ADGM holding structures are commonly used for regional and international ownership planning. The position should be reviewed in both the UAE and the jurisdiction where the subsidiary or asset is located.
Can an existing offshore holding vehicle move to ADGM?
Yes. Existing holding vehicles in jurisdictions such as the BVI or the Cayman Islands may be moved to ADGM where greater substance or transparency is needed, where the relevant conditions are met.
Do you work with our existing lawyers, auditors or financial advisers?
Yes. We work closely with law firms, auditors and financial advisers for shared clients. We coordinate with your advisers so everyone is working from the same plan.
What happens in the first consultation?
We discuss your objectives, current holdings and the jurisdictions involved, give you an initial view on which ADGM structures could fit and agree clear next steps. There is no obligation to proceed.
